Welcome to Elm82gallery. These Terms & Conditions (“Terms”) govern your access to and use of the Elm82gallery website and your purchase of artwork or other products from Elm82gallery.

By accessing this website, placing an order, or purchasing artwork from Elm82gallery, you agree to these Terms. Please read them carefully before making a purchase.

1. ABOUT ELM82GALLERY

Elm82gallery LLC (“Elm82gallery,” “we,” “us,” or “our”) is an independent art gallery based in the United States specializing in carefully selected contemporary, urban, street, and related artwork, including limited-edition prints, artist proofs, printer’s proofs, hand-finished works, original works, and other collectible artwork.

2. ARTWORK & PRODUCT INFORMATION

Elm82gallery makes reasonable efforts to provide accurate descriptions and photographs of all artwork offered for sale.

Listings may include information such as:

artist;
title;
year;
medium or technique;
dimensions;
edition size;
edition number or proof designation, when applicable;
signature information;
condition;
framing information; and
certificate of authenticity or other accompanying documentation, when applicable.

Because many works offered by Elm82gallery are collectible, previously owned, handmade, hand-finished, vintage, or produced using specialized artistic processes, minor variations or characteristics may exist.

These characteristics are not necessarily defects.

3. IMAGES & COLOR REPRESENTATION

We make reasonable efforts to represent artwork accurately.

However, colors, brightness, texture, metallic finishes, reflective surfaces, paper tone, hand-finishing, paint application and other characteristics may appear differently depending on photography, lighting, screen calibration, device settings and viewing conditions.

Digital images should therefore be considered a reasonable representation of the artwork rather than a guarantee of exact color reproduction.

Customers who would like additional photographs or condition information are encouraged to contact Elm82gallery before purchasing.

4. LIMITED EDITIONS & PROOFS

Elm82gallery may offer limited-edition artwork and special proofs, including Artist’s Proofs (AP), Printer’s Proofs (PP), Hors Commerce proofs (HC), Roman Numeral editions, hand-finished editions and similar artist or publisher-designated works.

Where known and applicable, the relevant edition or proof information will be identified in the artwork listing.

Edition terminology may differ among artists, publishers and print studios.

Unless specifically stated otherwise, purchasing a limited-edition artwork does not transfer any copyright, reproduction right, trademark right or other intellectual-property right associated with the artwork.

5. AUTHENTICITY & DOCUMENTATION

Elm82gallery takes authenticity seriously and represents artwork in good faith based upon the information, provenance and documentation reasonably available to us.

Where a Certificate of Authenticity (“COA”), publisher documentation, gallery documentation or other provenance material accompanies an artwork, this will generally be identified in the listing or supplied with the artwork.

Not every authentic artwork is issued with a separate COA.

Any documentation specifically stated as accompanying an artwork forms part of the sale and should be retained by the purchaser.

6. CONDITION

Unless otherwise stated, artwork is sold in the condition described or represented at the time of sale.

For previously owned or older artwork, reasonable signs of age, handling, production, storage or previous ownership may be present.

Where Elm82gallery is aware of a material condition issue, we will make reasonable efforts to disclose it.

Customers seeking additional condition information should contact us before placing an order.

Nothing in this section limits rights that cannot legally be excluded under applicable consumer-protection law.

7. PRICING

Prices are displayed in the currency indicated on the website.

Prices may change at any time before an order is accepted.

Applicable shipping charges, taxes or other charges collected by Elm82gallery will be displayed during checkout where technically available and applicable.

For international orders, additional import VAT, customs duties, brokerage charges, clearance charges or other governmental fees may be imposed by the destination country.

Unless expressly stated otherwise during checkout, such import-related charges are not included in the purchase price and are the responsibility of the purchaser.

Nothing in this provision overrides mandatory laws requiring particular taxes or charges to be included in the price presented to a consumer.

8. ORDERS

Submitting an order does not necessarily constitute final acceptance by Elm82gallery.

After an order is submitted, we may review the transaction before confirming the sale.

Elm82gallery reserves the right, where legally permitted, to decline or cancel an order because of:

incorrect pricing or listing information;
artwork no longer being available;
payment authorization problems;
suspected fraud or unauthorized activity;
shipping restrictions;
compliance or legal requirements; or
other legitimate circumstances preventing completion of the transaction.

If Elm82gallery cancels an order after payment has been received, the amount paid for the canceled order will be refunded to the original payment method, subject to applicable law.

9. PAYMENT

Payment must be made using a payment method offered at checkout.

Orders may be processed through third-party payment providers. Their separate terms and privacy practices may also apply to your transaction.

Elm82gallery does not guarantee that every payment method will be available in every country or for every transaction.

10. SHIPPING

Artwork will be prepared and packaged with reasonable care appropriate to the type of work being shipped.

Available shipping methods, estimated delivery periods and shipping costs may vary depending upon the artwork, destination, value and carrier.

Delivery estimates are estimates rather than guaranteed delivery dates unless Elm82gallery expressly agrees otherwise.

Nothing in this provision limits mandatory consumer delivery rights applicable to a particular transaction.

11. INTERNATIONAL ORDERS, CUSTOMS & IMPORT CHARGES

Elm82gallery may ship artwork internationally where available.

International shipments may be subject to customs inspection, import VAT, duties, tariffs, brokerage fees or other charges imposed by the destination country or carrier.

Unless Elm82gallery expressly states that such amounts have been collected as part of the transaction, the purchaser is responsible for charges imposed upon importation.

Customers are responsible for providing accurate shipping and customs information.

Customs processing may delay delivery and is generally outside Elm82gallery's control.

Customers should review the import requirements applicable in their country before purchasing.

12. RISK OF LOSS & SHIPPING DAMAGE

Customers should inspect the shipment promptly after delivery.

If a package arrives visibly damaged, or the artwork appears to have been damaged during transportation, please photograph:

the exterior packaging;
shipping label;
damaged areas of the packaging;
internal packaging; and
artwork and any visible damage.

Contact Elm82gallery as soon as reasonably possible at Edward@elm82gallery.com and retain all original packaging while the matter is being reviewed.

Do not discard shipping materials until Elm82gallery confirms that they are no longer required for a carrier or insurance claim.

Nothing in this section transfers shipping risk to a consumer where applicable law places that risk upon Elm82gallery until delivery.

13. RETURNS

Because the artworks offered by Elm82gallery are collectible works and may be limited in availability, our general return policy may differ from that of conventional retail businesses.

Returns must comply with the separate Returns & Cancellations Policy published on our website.

Nothing in these Terms excludes or restricts a consumer's mandatory statutory rights.

European Union / EEA Consumers

Where mandatory European consumer law applies to an eligible distance sale, the consumer may have a statutory right to withdraw from the purchase within 14 days after receiving the goods, without providing a reason, subject to applicable legal exceptions.

Where that statutory right applies, Elm82gallery will honor it regardless of any otherwise applicable final-sale provision.

The customer must notify Elm82gallery of the decision to withdraw within the applicable withdrawal period.

Unless applicable law or the circumstances require otherwise, the customer may be responsible for the direct cost of returning the artwork after exercising the right of withdrawal.

The artwork and all materials supplied with it — including certificates, documentation and accessories — should be returned together.

14. REFUNDS

Approved refunds will ordinarily be issued to the original payment method.

Processing times may depend upon the payment provider and financial institution.

For statutory EU/EEA withdrawals, refunds will be handled according to applicable consumer law, including applicable requirements concerning the timing of reimbursement and standard outbound delivery charges.

Elm82gallery may, where legally permitted, withhold reimbursement until the artwork has been received back or the consumer provides evidence that it has been returned.

15. RETURNED ARTWORK

Customers are responsible for taking reasonable care of artwork while it is in their possession.

Returned artwork should include all items originally supplied with the purchase, including any applicable:

Certificate of Authenticity;
edition documentation;
gallery or publisher documentation;
accompanying materials; and
other items forming part of the sale.

For returns made under mandatory consumer law, any deduction for diminished value will be limited to what applicable law permits.

16. FRAMED ARTWORK

Where artwork is sold framed, the listing will identify the framing where reasonably applicable.

Frames, glazing, mounts and other framing materials may be more susceptible to transportation damage than the artwork itself.

Any material framing damage occurring during shipment should be reported promptly using the procedure described in Section 12.

17. COPYRIGHT & INTELLECTUAL PROPERTY

The purchase of artwork transfers ownership of the physical artwork only unless expressly agreed otherwise.

Purchasing an artwork does not give the purchaser the right to reproduce, commercially exploit, distribute or create derivative works from the artwork except as permitted by law or authorized by the applicable rights holder.

The Elm82gallery name, branding, website design, original website text, graphics and other Elm82gallery-owned content may not be commercially reproduced without permission.

18. WEBSITE CONTENT

Elm82gallery may update, modify or remove website content, artwork listings, prices or availability without prior notice.

We make reasonable efforts to keep information accurate but do not guarantee that the website will always be uninterrupted or completely free of technical or typographical errors.

If an error materially affects an order, Elm82gallery will address the matter in accordance with applicable law.

19. PERSONAL INFORMATION

Personal information collected through the website is handled in accordance with our Privacy Policy and, where applicable, our Cookie Policy.

Payment information may also be processed directly by third-party payment processors.

20. PROHIBITED USE

You may not use the Elm82gallery website:

for fraudulent or unlawful purposes;
to interfere with website security or operation;
to attempt unauthorized access to systems or information;
to misrepresent your identity in connection with a transaction;
to infringe intellectual-property rights; or
in any manner prohibited by applicable law.

21. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Elm82gallery will not be liable for indirect, incidental, special or consequential losses arising from use of the website or a transaction with Elm82gallery.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, nor does anything in these Terms reduce mandatory consumer rights.

22. THIRD-PARTY SERVICES

The website may use or link to services operated by third parties, including payment processors, shipping providers and social-media platforms.

Elm82gallery is not responsible for the independent content, privacy practices or services of third parties, except to the extent applicable law provides otherwise.

23. GOVERNING LAW

Except where mandatory consumer law provides otherwise, these Terms and transactions with Elm82gallery are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law principles.

Nothing in this section deprives a consumer of mandatory protections provided by the laws applicable to that consumer that cannot lawfully be waived by contract.

24. DISPUTES

We encourage customers to contact Elm82gallery first if there is a problem with an order. We will make reasonable efforts to resolve legitimate concerns professionally and promptly.

Nothing in these Terms limits a consumer's right to use a court, regulatory authority, alternative dispute-resolution mechanism or other remedy where such a right exists under applicable law.

25. CHANGES TO THESE TERMS

Elm82gallery may revise these Terms from time to time.

The version applicable to a purchase will generally be the version in effect when the order is placed, except where a change is required by law.

The current version and its effective date will be published on this page.

26. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

27. ENTIRE AGREEMENT

These Terms, together with any policies expressly incorporated into them and the applicable artwork listing and order information, constitute the agreement between Elm82gallery and the purchaser concerning the applicable transaction, subject to any rights that cannot legally be excluded.
